Protect yourself from payment fraud. SDL K LTD never takes payment through this website, by social media, or into a personal account. Bank details are only ever provided in writing by our sales team after a quote is confirmed. If anyone sends you different payment instructions, do not pay — call us on +254 118 789 679 to verify.
1. About these terms
These Terms of Service ("Terms") form an agreement between you and Stelcha Dealers K Ltd ("SDL K LTD", "we", "us", "our"), a private limited company incorporated in Kenya (company number PVT-L51MQB5L) with its registered office at Kipro Centre, Sports Road, Westlands, Nairobi. They apply to your use of our website and to every quote, order and service we provide, including gold sales, assay testing, safekeeping and logistics.
A specific transaction may also be covered by a written quote, sales contract, safekeeping agreement or logistics order. If any of those documents conflicts with these Terms, the specific document takes priority for that transaction.
By using our website or services, you agree to these Terms. If you do not agree, please do not use them.
2. Eligibility and accounts
- You must be at least 18 years old and legally able to enter into contracts. If you act for a company, you confirm you are authorised to bind it.
- The information you give us must be accurate and kept up to date.
- You are responsible for keeping your account password secure and for all activity under your account. Tell us immediately if you suspect unauthorised use.
- We may suspend or close an account that is used in breach of these Terms or the law.
3. Verification (KYC)
As a dealer in precious metals, we are required by the Proceeds of Crime and Anti-Money Laundering Act, 2009 to verify our clients before transacting. You agree to provide the identity, company, source-of-funds and source-of-gold information we request.
We may decline, delay or cancel any transaction if verification is incomplete, if the information is inconsistent, or if we are required to do so by law. Where the law requires, we will report transactions to the Financial Reporting Centre and may be prohibited from telling you. We do not buy, sell, test or store gold that cannot be traced to a legal origin.
4. Quotes and pricing
- Indicative prices. Any price, premium or price range shown on our website is indicative only. Gold prices move continuously with the international market.
- Firm quotes. A firm price is only offered in a written quote from our sales team. Each quote states what it covers — product, weight, purity, delivery terms and costs — and how long it is valid.
- Price lock. A quoted price is locked when you confirm acceptance in writing within the validity period and meet the payment terms stated in the quote. If payment is not received on time, we may cancel the order or re-quote at the current price, and you may be liable for any loss caused by the price movement.
- Raw gold. For dust, nuggets and doré, the final price is calculated on the assayed fine gold content, as set out in the quote.
- Unless the quote says otherwise, prices exclude taxes, royalties, duties, insurance and delivery, which will be itemised.
5. Payment
- Payment is made only to the company bank account or escrow arrangement confirmed in writing by our sales team for your transaction.
- We do not accept payment in any other way, and we are not responsible for payments made to accounts or people not confirmed by us in writing. Always verify payment instructions by phone before sending money.
- We do not accept cash payments above the limits permitted by law, or payments from third parties who have not been verified.
- An order is only confirmed once cleared funds have been received and we have confirmed receipt in writing.
6. Delivery, title and risk
- Title (ownership) of gold passes to you when we have received full payment in cleared funds.
- Risk passes to you on collection from our premises, or on delivery to the destination or carrier stated in your quote, according to the delivery terms agreed.
- Where we arrange transport, shipments are insured for their declared value until risk passes, and are sealed in tamper-evident packaging. Seal numbers are recorded on the shipping documents.
- You must inspect the packaging on receipt. Report any broken seal or damage before signing for the delivery, and in any case within 48 hours.
- Delivery dates are estimates. We are not liable for delays caused by customs, carriers, regulators or events beyond our control.
7. Assay and testing services
- Test results apply only to the sample or item tested, in the condition in which it was received.
- Each method has its own scope and tolerance. XRF analysis measures the surface of an item and may not detect plating, filling or internal inconsistencies. Fire assay measures bulk gold content but consumes a small sample. The method used is stated on the certificate.
- Fire assay and other destructive tests use up part of the sample. You agree to this when you request them, and the weight consumed is recorded.
- Turnaround times are estimates and depend on sample type and volume.
- Certificates are issued for the client named on them. They must not be altered, and must only be relied on for the item they describe.
- Items submitted for testing are held at your risk after the collection date stated on your TVR record, unless covered by a safekeeping agreement.
8. Safekeeping (SKR)
Gold stored with us is covered by a separate safekeeping agreement and Safe Keeping Receipt (SKR), which set out storage fees, insurance cover, access and release procedures. The SKR is a record of deposit and is not a negotiable instrument unless the safekeeping agreement expressly states otherwise. Gold is released only to the depositor or an authorised person after identity verification.
9. Exports and compliance
- Where we arrange an export, we prepare the Kenyan documentation required under the Mining Act, 2016 and customs law, including the export permit, assay report and royalty payment.
- You are responsible for any import permits, duties, taxes and approvals required in the destination country, unless the quote states otherwise.
- You confirm that you will not use gold bought from us in breach of any sanctions, export controls or anti-money laundering law.
10. Cancellation
- Because gold prices change continuously, a confirmed order for gold cannot be cancelled without our written agreement. If we agree to a cancellation, you are responsible for any loss caused by the price movement and for costs already incurred.
- Testing requests may be cancelled free of charge before the sample is received. After testing has started, the full fee is payable.
- We may cancel an order and refund any payment received if we cannot complete verification, if supply becomes unavailable, or if the law requires us to.
11. Use of the website
- You may use this website for lawful purposes only. You must not attempt to gain unauthorised access, interfere with its operation, or use automated tools to extract content.
- All content on this website — text, design, logos and images — belongs to SDL K LTD or its licensors. You may view and print it for personal reference but not reproduce it commercially without our permission.
- Articles and information on the website are general in nature. See our Legal Disclaimer.
- Links to other websites are provided for convenience. We are not responsible for their content.
12. Liability
- Nothing in these Terms limits liability for fraud, for death or personal injury caused by negligence, or for anything that cannot be limited under Kenyan law.
- Subject to that, our total liability arising from any transaction is limited to the amount you paid us for that transaction.
- We are not liable for indirect or consequential loss, loss of profit or loss of opportunity, including losses from movements in the price of gold.
- You agree to compensate us for losses we suffer as a result of false information you provide or your breach of these Terms or the law.
13. Events beyond our control
We are not responsible for failure or delay caused by events outside our reasonable control, including natural disasters, civil unrest, strikes, government action, closure of borders or airports, failures of carriers or banks, and cyber attacks. We will tell you as soon as possible and resume performance when we can.
14. Governing law and disputes
These Terms are governed by the laws of Kenya. If a dispute arises, please contact us first so that we can try to resolve it. If it cannot be resolved within 30 days, either party may refer it to the courts of Kenya, which will have exclusive jurisdiction, unless the parties agree in writing to arbitration in Nairobi under the Arbitration Act, 1995.
15. General
- We may update these Terms. The version in force when you place an order applies to that order.
- If any part of these Terms is found to be unenforceable, the rest remains in effect.
- If we do not enforce a right immediately, we have not waived it.
- You may not transfer your rights under these Terms without our written consent.
- Our Privacy Policy explains how we handle your personal data.
